Responsibilities

  • Draft, review, and negotiate a wide variety of complex commercial agreements, including Master Services Agreements (MSA), Statements of Work (SOW), Non-Disclosure Agreements (NDA), and licensing deals.
  • Provide proactive legal counsel to business stakeholders on corporate compliance, data protection, and regulatory issues.
  • Lead and manage the end-to-end process for mergers, acquisitions, and strategic investments.
  • Oversee intellectual property strategy, including copyright, trademark, and patent matters.
  • Manage external counsel relationships and provide oversight of external litigation and disputes.
  • Conduct legal risk assessments and develop policies to minimize legal exposure.
  • Mentor junior legal staff and contribute to the continuous improvement of the legal department's workflows.

Qualifications

  • Qualified Solicitor (SRA) or Barrister (Bar Standards Board) with a minimum of 5 years post-qualification experience (PQE).
  • Proven track record in Corporate and Commercial Law, with specific experience in Technology and Intellectual Property.
  • In-depth knowledge of English contract law, corporate governance, and regulatory compliance (UK GDPR, GDPR, FCA regulations).
  • Strong commercial acumen with the ability to translate complex legal concepts into business-friendly language.
  • Excellent negotiation, communication, and interpersonal skills, with the ability to influence stakeholders at all levels.
  • High attention to detail and the ability to work effectively under pressure in a fast-paced environment.
  • Proficiency in legal research tools (e.g., Westlaw, LexisNexis) and document management systems.
