Responsibilities
- Lead M&A transactions, drafting/reviewing complex contracts and SEC filings
- Develop corporate governance frameworks and compliance programs
- Advise C-suite executives on regulatory matters and risk mitigation
- Manage litigation strategy and external counsel relationships
- Drive innovation in legal tech implementation and process optimization
- Mentor junior attorneys and contribute to knowledge management systems
Qualifications
- Juris Doctor from ABA-accredited law school (Top 20 preferred)
- 8+ years of corporate law experience at AmLaw 100 firm
- Admitted to NYS Bar with active membership
- Expertise in securities law, M&A, and corporate governance
- Proven track record in high-value transactional work
- Advanced proficiency in legal research platforms (Westlaw/LexisNexis)
- Exceptional written/verbal communication and client management skills
