Responsibilities
- Architect and lead end-to-end M&A transactions, including structuring, due diligence, and post-closing integration.
- Act as a primary advisor to executive leadership on SEC compliance, corporate governance, and fiduciary responsibilities.
- Draft and negotiate high-value commercial agreements, joint ventures, and strategic partnership contracts.
- Directly manage corporate secretarial functions and prepare materials for Board of Directors and Committee meetings.
- Provide proactive legal risk assessments for global business expansion and innovative product launches.
- Orchestrate the management of external counsel and optimize legal spend for specialized litigation and regulatory matters.
Qualifications
- Juris Doctor (JD) degree from an ABA-accredited law school with an outstanding academic record.
- Active membership in the New York State Bar (or eligible for immediate admission).
- Minimum of 7-10 years of intensive corporate law experience at a top-tier law firm or a sophisticated in-house legal department.
- Expert-level proficiency in the Securities Act of 1933 and the Exchange Act of 1934.
- Proven experience leading multi-billion dollar M&A and private equity transactions.
- Superior negotiation skills with the ability to harmonize legal requirements and commercial objectives.
- Exceptional emotional intelligence and the ability to influence stakeholders at the highest levels of the organization.
