Responsibilities
- Advise C-suite executives on corporate governance best practices and SEC compliance matters
- Lead due diligence processes for M&A transactions exceeding $500M valuation
- Draft and negotiate complex commercial contracts and intellectual property licensing agreements
- Manage litigation strategy and coordinate with external counsel on high-stakes disputes
- Develop in-house training programs on regulatory compliance for multinational corporations
- Represent clients in board meetings and shareholder communications
Qualifications
- Juris Doctor degree from ABA-accredited law school with top 25% academic standing
- 8+ years of corporate law experience at Am Law 100 or equivalent firm
- Active NY State bar membership with no disciplinary actions
- Proven track record leading M&A transactions valued at $100M+
- Advanced certification in securities compliance (e.g., CLE Series 7/24)
- Fluency in Mandarin or Spanish for international client interactions
- Expertise in data privacy regulations (GDPR/CCPA)
