Responsibilities
- Lead complex M&A transactions, joint ventures, and strategic partnerships from due diligence to closing
- Draft, negotiate, and manage critical commercial contracts (SaaS, licensing, distribution)
- Develop and implement global compliance programs for data privacy, antitrust, and labor laws
- Advise C-suite executives on corporate governance, SEC filings, and board governance matters
- Manage intellectual property portfolio strategy, including patents, trademarks, and trade secrets
- Oversee litigation strategy and external counsel relationships for high-stakes disputes
- Mentor junior legal staff and drive continuous improvement of legal operations
Qualifications
- Juris Doctor (JD) degree from ABA-accredited law school and active NY bar membership
- 10+ years of corporate counsel experience at AmLaw 100 or Fortune 500 companies
- Expertise in technology transactions, data privacy (GDPR/CCPA), and M&A due diligence
- Proven track record of negotiating complex commercial agreements ($50M+ deals)
- Deep knowledge of corporate governance best practices and SEC regulations
- Strong project management skills with ability to lead cross-functional initiatives
- Exceptional written/verbal communication and persuasive advocacy abilities
