Responsibilities
- Provide expert legal counsel and strategic guidance on corporate matters, including mergers and acquisitions (M&A), corporate governance, and contract negotiations.
- Lead the end-to-end lifecycle of high-value commercial contracts, including drafting, reviewing, and negotiating agreements with vendors and partners.
- Conduct comprehensive legal research and risk assessments to support business expansion and operational efficiency.
- Ensure strict adherence to federal, state, and local regulations, mitigating legal exposure and liability.
- Develop and implement legal policies and procedures to enhance the company's compliance framework.
- Collaborate with cross-functional teams, including Finance, Operations, and HR, to address legal implications of business decisions.
- Represent the firm in legal proceedings and coordinate with external counsel for specialized litigation matters.
Qualifications
- Juris Doctor (JD) degree from an accredited law school.
- Active Bar membership in New York State (or willingness to sit for the bar).
- Minimum of 7 years of experience in corporate law, with a strong preference for candidates from top-tier law firms or major in-house legal departments.
- Deep knowledge of corporate law, securities regulations, and contract law.
- Exceptional analytical and problem-solving skills with the ability to manage multiple priorities under tight deadlines.
- Outstanding communication skills, capable of articulating complex legal concepts to non-legal stakeholders.
- Proven track record of managing sensitive and confidential information with the highest degree of discretion.
