Responsibilities
- Lead complex M&A transactions and corporate restructuring initiatives
- Advise on securities compliance and regulatory matters (SEC/FINRA)
- Develop corporate governance frameworks and board policies
- Manage intellectual property portfolios and technology licensing
- Conduct due diligence for strategic partnerships and investments
- Represent clients in high-stakes negotiations and dispute resolution
- Mentor junior attorneys and paralegal team members
Qualifications
- Juris Doctor degree from ABA-accredited institution
- Active Illinois State Bar membership
- 8+ years corporate law experience at AmLaw 100 firm
- Proven M&A/securities transaction leadership
- Expertise in cross-border transactions and regulatory compliance
- Superior analytical and negotiation abilities
- Advanced proficiency in legal research platforms (LexisNexis/Westlaw)
