Responsibilities
- Lead complex M&A transactions from due diligence to closing
- Advise on securities compliance and regulatory filings (SEC, FINRA)
- Develop corporate governance frameworks and board policies
- Negotiate high-value commercial contracts and vendor agreements
- Manage intellectual property portfolios and infringement disputes
- Oversee risk mitigation for cross-border transactions
- Mentor junior counsel and paralegal team members
Qualifications
- JD degree from ABA-accredited law school
- 10+ years corporate law experience at top-tier firms
- Active NY State Bar membership (in good standing)
- Proven expertise in SEC regulations and corporate governance
- Exceptional negotiation skills with transactional track record
- Experience managing cross-functional legal teams
- Strong analytical abilities and strategic thinking
- Admitted to practice in at least one U.S. jurisdiction
