Responsibilities
- Advise Fortune 500 clients on M&A transactions, corporate governance, and SEC compliance
- Draft and negotiate complex commercial contracts, including SaaS and licensing agreements
- Develop proactive legal strategies for emerging technologies (AI, blockchain, fintech)
- Manage cross-functional litigation matters and regulatory investigations
- Mentor junior attorneys and lead legal process optimization initiatives
- Collaborate with executive teams on risk management and compliance frameworks
Qualifications
- Juris Doctor (JD) from ABA-accredited law school with top 20% academic standing
- 10+ years of corporate law experience with Big Law or in-house counsel at tech companies
- Active New York State bar license (in good standing)
- Proven expertise in SaaS agreements, data privacy (CCPA/GDPR), and IP protection
- Strong negotiation skills with $50M+ deal experience
- Admission to NYSE and NASD (Series 7/24 preferred)
- Advanced legal technology proficiency (e.g., DocuSign, Kira Systems)
