Responsibilities
- Lead due diligence and negotiation of multi-jurisdictional M&A transactions valued at $50M+
- Develop and implement compliance programs for GDPR, CCPA, and international data protection regulations
- Advise C-suite executives on corporate governance, SEC filings, and shareholder agreements
- Manage litigation strategy and oversee external counsel relationships for high-stakes disputes
- Create legal playbooks for SaaS contract lifecycle management and revenue recognition
- Mentor junior attorneys and drive legal tech adoption for efficiency gains
Qualifications
- Juris Doctor with 8+ years of corporate law experience at AmLaw 100 or equivalent
- Active NY State Bar license with impeccable academic credentials
- Proven expertise in fintech/SaaS regulatory landscapes and cross-border transactions
- Exceptional negotiation skills with track record of closing complex deals
- Strong proficiency in legal tech tools (e.g., Contract Lifecycle Management systems)
- Experience managing legal budgets and vendor relationships
- Fluency in Spanish or Mandarin preferred for international engagements
