Responsibilities
- Draft, review, and negotiate complex commercial agreements including M&A and joint ventures.
- Provide strategic legal counsel to executive leadership on corporate governance and risk management.
- Oversee regulatory compliance programs to ensure adherence to SEC and federal guidelines.
- Manage outside counsel and oversee litigation strategies for domestic and international matters.
- Lead internal teams during due diligence processes for high-value corporate acquisitions.
- Draft board resolutions and meeting minutes, ensuring precise corporate documentation.
- Mentor junior associates to foster legal excellence and professional growth within the firm.
Qualifications
- Juris Doctor (JD) degree from an ABA-accredited law school.
- Active member in good standing of the New York State Bar.
- Minimum of 7-10 years of experience in corporate law within a reputable law firm or in-house department.
- Expertise in Securities Law, Corporate Governance, and Commercial Contracts.
- Proven track record of managing high-value, multi-jurisdictional transactions.
- Exceptional analytical, written, and verbal communication skills.
- Strong interpersonal skills with the ability to influence stakeholders at all levels.
