Responsibilities
- Lead M&A transactions including due diligence, negotiation, and drafting of definitive agreements
- Advise on corporate governance, SEC filings, and securities law compliance
- Develop risk management strategies for cross-border transactions
- Mentor junior attorneys and manage outside counsel relationships
- Drive innovation in legal tech solutions for contract lifecycle management
- Represent company in regulatory proceedings and stakeholder communications
Qualifications
- JD from ABA-accredited law school and active NY bar membership
- 8+ years of corporate/M&A law experience at a top-tier law firm
- Proven track record in handling complex cross-border transactions
- Expertise in SEC regulations and corporate governance frameworks
- Strong negotiation skills with ability to manage stakeholder expectations
- Admission to additional state bars (CA, IL) preferred
- Advanced certification in contract management or legal tech
