Responsibilities
- Lead due diligence and structuring for cross-border M&A transactions exceeding $500M
- Advise on SEC filings, corporate governance best practices, and board-level risk management
- Develop AI-powered compliance frameworks for multinational corporations
- Negotiate high-stakes commercial contracts with strategic partners
- Mentor junior counsel and manage legal workflow using cutting-edge e-discovery platforms
- Represent clients in regulatory hearings and dispute resolution proceedings
Qualifications
- Juris Doctor from ABA-accredited law school with top 10% academic standing
- 7+ years of experience in corporate law at AmLaw 100 or Big Four firm
- Bar admission in New York and active membership in good standing
- Proven expertise in SEC regulations, M&A, and international corporate law
- Advanced proficiency in contract management software (e.g., DocuSign CLM, Concord)
- Excellent command of legal AI tools (Kira Systems, Luminance) for contract analysis
- Certified Information Privacy Professional (CIPP) preferred
