Responsibilities
- Lead and manage complex cross-border M&A transactions and corporate restructuring projects.
- Draft, review, and negotiate high-stakes commercial agreements, including licensing, joint ventures, and service contracts.
- Provide proactive legal counsel to executive leadership on corporate governance, compliance, and risk mitigation.
- Oversee internal and external regulatory filings and maintain compliance with SEC and jurisdictional requirements.
- Manage outside counsel and internal legal teams to ensure consistent application of firm standards.
- Develop and implement institutional best practices for contract lifecycle management.
- Represent the firm in high-level negotiations and professional stakeholder briefings.
Qualifications
- Juris Doctor (JD) degree from an ABA-accredited law school.
- Active member in good standing of the New York State Bar.
- Minimum of 7-10 years of experience in a top-tier law firm or in-house legal department.
- Expertise in corporate law, commercial litigation, or securities regulation.
- Exceptional analytical, written, and verbal communication skills.
- Proven ability to manage multiple high-priority projects in a fast-paced environment.
- Strong interpersonal skills with the ability to influence C-suite decision-making.
