Responsibilities
- Lead complex negotiations for mergers, acquisitions, and divestitures.
- Draft and review sophisticated commercial contracts, ensuring alignment with corporate strategy.
- Provide expert legal counsel to Board members regarding governance and regulatory compliance.
- Oversee due diligence processes and mitigate potential legal liabilities in corporate structuring.
- Manage external counsel and cross-functional teams on multi-jurisdictional legal projects.
- Develop and implement internal legal policies to ensure adherence to SEC and federal regulations.
Qualifications
- Juris Doctor (JD) degree from an ABA-accredited law school.
- Active admission to the New York State Bar in good standing.
- Minimum of 7-10 years of experience in corporate law at a top-tier law firm or in-house legal department.
- Proven track record in managing high-stakes corporate transactions and complex deal structures.
- Exceptional verbal and written communication skills, with the ability to influence C-suite stakeholders.
- Deep understanding of securities law, corporate governance, and contract lifecycle management.
