Responsibilities
- Lead M&A negotiations and drafting of definitive agreements for technology clients
- Advise on SEC compliance and cross-border transactional matters
- Manage intellectual property portfolios and licensing agreements
- Develop corporate governance policies for emerging tech startups
- Represent clients in regulatory hearings and dispute resolutions
- Mentor junior associates on transactional best practices
- Collaborate with finance teams on due diligence processes
Qualifications
- Juris Doctor (JD) from ABA-accredited law school
- 8+ years of corporate law experience with focus on M&A
- Active NY State Bar membership in good standing
- Proven track record in fintech or SaaS transactions
- Expertise in SEC regulations and corporate governance
- Superior negotiation and drafting skills
- Strong analytical abilities for complex legal research
- Experience managing cross-functional legal teams
