Responsibilities
- Draft and negotiate complex commercial contracts, including master service agreements, licensing, and strategic partnerships.
- Advise executive management on corporate governance, regulatory compliance, and risk mitigation strategies.
- Lead legal due diligence for potential mergers, acquisitions, and divestiture activities.
- Manage external counsel and cross-functional teams to resolve litigation and intellectual property disputes.
- Develop and implement internal legal policies to ensure compliance with federal and state regulations.
- Provide training and guidance to internal stakeholders regarding contract lifecycle management.
- Represent the firm in high-stakes negotiations and board-level meetings.
Qualifications
- Juris Doctor (JD) degree from an accredited, top-tier law school.
- Active member in good standing of the New York State Bar.
- 7+ years of experience in corporate law, preferably within a large firm or high-growth corporate setting.
- Deep expertise in contract drafting, corporate securities, and M&A documentation.
- Proven ability to manage complex legal projects with minimal supervision in a fast-paced environment.
- Exceptional interpersonal and communication skills to influence internal stakeholders.
- Experience advising on data privacy regulations (GDPR, CCPA) is highly preferred.
