Responsibilities
- Draft, review, and negotiate complex commercial agreements including M&A, SaaS, and IP licensing.
- Provide actionable legal guidance on corporate governance, compliance, and regulatory affairs.
- Manage external counsel and oversee litigation strategy to mitigate enterprise risk.
- Advise executive stakeholders on labor law, contract enforcement, and strategic partnerships.
- Lead internal training sessions on emerging legal standards and best practices.
- Draft board-level presentations and maintain corporate minute books and records.
Qualifications
- Juris Doctor (JD) degree from an ABA-accredited law school.
- Active member in good standing of the New York State Bar.
- Minimum of 7-10 years of experience in corporate law, preferably at a top-tier law firm or high-growth enterprise.
- Demonstrated expertise in cross-border transactions and regulatory compliance.
- Strong analytical, communication, and executive presence.
- Proven ability to manage multiple high-priority projects under tight deadlines.
