Responsibilities
- Provide strategic legal counsel to the Board of Directors and C-suite executives on corporate governance, risk management, and compliance matters.
- Lead the drafting, negotiation, and review of complex commercial contracts, including supply agreements, partnership deals, and service level agreements.
- Assist in the management of mergers and acquisitions (M&A) transactions, conducting comprehensive due diligence and preparing necessary legal documentation.
- Oversee the management of external legal counsel, ensuring cost-effectiveness and alignment with company objectives.
- Develop and implement internal legal policies and procedures to mitigate risk and ensure regulatory compliance (GDPR, Companies Act, etc.).
- Collaborate cross-functionally with business units to identify legal risks and develop innovative commercial solutions.
- Represent the company in regulatory meetings and legal proceedings as required.
Qualifications
- Qualified Solicitor (SRA) with a minimum of 6-8 years of post-qualification experience in corporate/commercial law.
- Proven track record of successfully negotiating high-value commercial contracts and managing M&A transactions.
- Strong understanding of UK corporate law, data privacy legislation, and regulatory frameworks.
- Exceptional legal research and drafting skills with a keen eye for detail and commercial awareness.
- Excellent communication and interpersonal skills, with the ability to articulate complex legal concepts to non-legal stakeholders.
- Ability to work independently, manage multiple priorities, and meet tight deadlines in a fast-paced environment.
