Responsibilities
- Lead due diligence and risk assessment for complex M&A transactions
- Draft and negotiate high-stakes commercial agreements and SEC filings
- Develop corporate governance frameworks for public companies
- Advise on cross-border regulatory compliance (GDPR, SOX, FCPA)
- Manage litigation strategy for corporate disputes
- Mentor junior associates and paralegals
- Present legal strategy to C-suite executives and board members
Qualifications
- Juris Doctor (J.D.) from ABA-accredited law school
- 10+ years of corporate law experience at AmLaw 100 firm
- Admitted to New York State Bar
- Proven track record in M&A transactions over $500M
- Certified Compliance & Ethics Professional (CCEP) preferred
- Experience with fintech or healthcare regulations
- Strong academic credentials (top 25% law school class)
- Exceptional written and oral advocacy skills
