Responsibilities
- Lead due diligence, negotiation, and execution of multi-million dollar M&A transactions
- Advise on corporate governance structures, SEC filings, and board governance matters
- Develop compliance frameworks for international regulatory environments (GDPR, CCPA)
- Manage litigation strategy and external counsel relationships for high-stakes disputes
- Train junior attorneys on transactional best practices and risk mitigation techniques
- Drive legal technology initiatives to enhance contract management and e-discovery processes
Qualifications
- Juris Doctor (J.D.) from ABA-accredited law school
- 8+ years of corporate law experience at a top-tier law firm or in-house legal department
- Active Illinois State Bar membership in good standing
- Proven expertise in cross-border transactions and international compliance
- Advanced proficiency in contract lifecycle management software (e.g., DocuSign, Coupa)
- Excellent negotiation skills with ability to balance legal precision and business objectives
- Certification in Corporate Governance (e.g., GRC) or M&A specialization preferred
