Responsibilities
- Provide expert legal counsel on corporate governance, compliance, and securities regulations.
- Draft, review, and negotiate complex commercial agreements, including M&A transactions and joint ventures.
- Serve as the primary liaison for cross-departmental teams regarding litigation management and risk mitigation.
- Lead internal investigations and ensure full compliance with evolving federal and state laws.
- Advise executive leadership on board matters, shareholder relations, and fiduciary obligations.
- Oversee external counsel and manage budgetary allocations for legal services.
Qualifications
- Juris Doctor (JD) degree from an ABA-accredited law school.
- Active admission to the New York State Bar in good standing.
- Minimum of 7-10 years of experience in corporate law, preferably at a top-tier law firm or in-house at a multinational corporation.
- Deep expertise in SEC filings, corporate finance, and commercial contract law.
- Proven ability to synthesize complex legal issues into actionable business strategies.
- Exceptional communication skills with the ability to influence senior-level stakeholders.
