Responsibilities
- Lead complex M&A transactions and corporate restructuring initiatives
- Draft, negotiate, and finalize commercial contracts, NDAs, and partnership agreements
- Advise on regulatory compliance, including SEC filings and corporate governance
- Manage litigation strategy and coordinate with external counsel
- Develop and implement risk management protocols for global operations
- Mentor junior counsel and oversee legal department workflows
- Collaborate with executive team on strategic business initiatives
Qualifications
- Juris Doctor (JD) from ABA-accredited law school
- 10+ years of corporate law experience at top-tier firms or in-house
- Active New York State Bar membership
- Expertise in securities law, M&A, and corporate governance
- Proven track record in high-value transactional work
- Strong analytical skills and business acumen
- Excellent negotiation and communication abilities
- Experience managing legal teams and budgets
