Responsibilities
- Lead complex negotiations for mergers, acquisitions, and strategic partnerships.
- Provide expert counsel on corporate governance, SEC filings, and board-level matters.
- Draft and oversee sophisticated commercial contracts, ensuring alignment with global legal standards.
- Manage external counsel and cross-functional teams to resolve litigation and liability issues.
- Develop and implement proactive compliance programs to mitigate operational risk.
- Collaborate with executive leadership to support strategic business expansion initiatives.
- Review and interpret evolving federal and state legislative changes affecting the firm.
Qualifications
- Juris Doctor (JD) degree from an ABA-accredited law school.
- Active admission to the New York State Bar in good standing.
- 7-10 years of experience in corporate law, preferably at a top-tier law firm or in-house legal department.
- Proven expertise in securities law, M&A, and sophisticated commercial transactions.
- Exceptional verbal and written communication skills with the ability to influence stakeholders.
- Strong problem-solving abilities and a business-first mindset.
- Demonstrated history of managing high-pressure situations with discretion and professional integrity.
