Responsibilities
- Lead complex M&A transactions, due diligence processes, and corporate restructuring initiatives
- Advise clients on SEC compliance, corporate governance, and cross-border regulatory matters
- Draft and negotiate high-value commercial contracts, joint ventures, and strategic partnerships
- Develop innovative legal solutions for emerging technologies including blockchain and AI
- Manage litigation risk and oversee external counsel relationships for major disputes
- Mentor junior attorneys and drive firm-wide knowledge management initiatives

Qualifications
- Juris Doctor from an ABA-accredited law school with top 20% academic standing
- Admission to New York State Bar and active membership in good standing
- Minimum 8 years of corporate law experience with Big Law or in-house counsel roles
- Proven track record handling $100M+ M&A transactions and complex regulatory matters
- Expertise in SEC filings, corporate governance best practices, and cross-border transactions
