Responsibilities
- Draft, review, and negotiate complex commercial agreements including M&A, joint ventures, and licensing deals.
- Provide proactive legal counsel on corporate governance, fiduciary duties, and compliance matters.
- Oversee external legal counsel and manage litigation strategies to mitigate organizational risk.
- Collaborate with executive stakeholders to align legal strategies with business objectives.
- Stay ahead of emerging industry regulations and advise on potential impacts to global operations.
- Develop and mentor junior associates to maintain our firm's high standards of legal excellence.
Qualifications
- Juris Doctor (JD) degree from an accredited, top-tier law school.
- Admission to the New York State Bar in good standing.
- Minimum of 7-10 years of corporate legal experience within a top-tier law firm or corporate legal department.
- Deep expertise in securities law, corporate finance, and commercial transactions.
- Proven ability to manage high-stakes negotiations independently.
- Exceptional verbal and written communication skills with a focus on executive-level advisory.
- Strong interpersonal skills with the ability to foster long-term client relationships.
