Responsibilities
- Lead complex negotiations for domestic and international M&A transactions.
- Draft and review high-stakes corporate agreements, including shareholder and joint venture contracts.
- Advise executive boards on corporate governance, compliance, and regulatory risk management.
- Oversee due diligence processes and coordinate with tax, IP, and employment specialists.
- Manage client relationships and provide strategic legal guidance to minimize litigation exposure.
- Mentor junior associates and foster a culture of professional excellence.
Qualifications
- Juris Doctor (JD) degree from an ABA-accredited law school.
- Active member in good standing with the New York State Bar.
- Minimum of 6-9 years of experience in corporate law at a reputable law firm.
- Proven track record of successfully managing complex deal cycles from inception to closing.
- Expertise in SEC filings, corporate finance, and commercial contracts.
- Exceptional verbal and written communication skills with high-level stakeholder management capability.
- Ability to thrive under pressure in a fast-paced, client-centric environment.
