Responsibilities
- Advise executive stakeholders on complex corporate governance and regulatory compliance matters.
- Draft, review, and negotiate high-value commercial contracts, including M&A agreements and joint ventures.
- Lead legal due diligence processes for multi-million dollar corporate transactions.
- Manage external counsel and cross-functional teams to ensure adherence to firm standards.
- Develop and implement enterprise-wide legal policies to mitigate institutional risk.
- Provide expert counsel on corporate structuring and organizational health.
Qualifications
- Juris Doctor (JD) degree from an accredited law school.
- Admission to the New York State Bar in good standing.
- Minimum of 7-10 years of experience in corporate law at a top-tier firm or in-house legal department.
- Proven track record of managing complex, cross-border transactions.
- Exceptional verbal and written communication skills with high executive presence.
- Demonstrated ability to translate complex legal requirements into actionable business strategy.
