Responsibilities
- Lead M&A transactions, joint ventures, and strategic alliances from due diligence to closing
- Advise clients on corporate governance, SEC compliance, and regulatory matters
- Draft and negotiate complex commercial contracts, licensing agreements, and intellectual property arrangements
- Manage litigation risks and oversee external counsel relationships
- Develop corporate policies and best practices to mitigate legal exposure
- Mentor junior attorneys and lead cross-functional legal initiatives
Qualifications
- Juris Doctor (JD) degree from an ABA-accredited law school
- Admitted to the New York State Bar with active membership
- 8+ years of corporate law experience at a top-tier law firm
- Expertise in M&A transactions and corporate governance
- Proven ability to manage complex legal matters with minimal supervision
- Exceptional negotiation skills and business acumen
- Strong proficiency in contract drafting and regulatory compliance
