Responsibilities
- Lead M&A transactions, joint ventures, and corporate restructuring projects from due diligence to closing
- Advise C-suite executives on corporate governance, compliance, and risk management strategies
- Draft, negotiate, and finalize complex commercial agreements, including licensing and partnership deals
- Manage litigation portfolios and oversee external counsel relationships for critical disputes
- Develop innovative legal frameworks for emerging technologies and digital transformation initiatives
- Mentor junior attorneys and lead cross-functional project teams
- Stay current on regulatory changes impacting corporate law and advise clients proactively
Qualifications
- Juris Doctor (J.D.) degree from ABA-accredited law school
- 10+ years of experience in corporate law, with 5+ years at a top-tier law firm
- Active New York State Bar membership in good standing
- Proven expertise in M&A transactions and corporate governance matters
- Exceptional negotiation skills with track record of securing favorable outcomes
- Strong analytical abilities and attention to detail in complex legal matters
- Experience managing cross-border transactions and international compliance
- Excellent communication skills with ability to advise non-legal stakeholders
