Responsibilities
- Draft, review, and negotiate a wide range of commercial contracts, including NDAs, SaaS agreements, and service level agreements.
- Advise the executive team on corporate governance matters, board compliance, and strategic business risks.
- Lead due diligence processes and manage the legal aspects of mergers, acquisitions, and strategic partnerships.
- Develop and implement internal compliance policies to mitigate legal and regulatory risks.
- Collaborate with cross-functional teams to resolve complex legal issues affecting product development and sales.
- Manage outside counsel relationships and supervise junior legal staff.
Qualifications
- Juris Doctor (JD) degree from an accredited law school.
- Active member in good standing of the New York State Bar.
- Minimum of 5-7 years of experience in corporate law, with a focus on general counsel or in-house legal departments.
- Proven track record of managing complex transactions and commercial negotiations.
- Exceptional drafting and analytical skills with the ability to communicate complex legal concepts clearly.
- Strong understanding of data privacy laws (e.g., CCPA, GDPR) and corporate regulatory frameworks.
