Responsibilities
- Lead complex M&A transactions due diligence and negotiation processes
- Draft and review corporate contracts, SEC filings, and governance documents
- Advise clients on compliance with evolving financial regulations (Dodd-Frank, SOX)
- Develop risk mitigation strategies for cross-border transactions
- Mentor junior attorneys and manage legal team workflows
- Collaborate with external counsel and regulatory bodies
- Drive legal process optimization using AI-powered contract analytics
Qualifications
- JD degree from ABA-accredited law school with top 20% ranking
- 7+ years corporate law experience at AmLaw 100 or equivalent
- Active NY State Bar membership and in-house counsel certification
- Expertise in M&A, securities regulation, and corporate governance
- Proven track record leading $500M+ transactional deals
- Advanced proficiency in contract lifecycle management tools
- Excellent negotiation skills with ability to manage stakeholder expectations
