Responsibilities
- Lead complex M&A transactions and joint venture negotiations
- Develop corporate governance frameworks for public companies
- Advise on SEC compliance and regulatory filings
- Manage intellectual property portfolios and trademark strategies
- Conduct due diligence for cross-border transactions
- Mentor junior counsel and paralegal team members
- Represent clients in board meetings and shareholder disputes
Qualifications
- Juris Doctorate from ABA-accredited institution
- 10+ years corporate law experience at top-tier law firm
- Bar admission in New York and active license
- Proven track record in M&A transactions over $500M
- Expertise in SEC regulations and corporate governance
- Strong negotiation skills with executive-level experience
- Advanced proficiency in legal research platforms (Westlaw/Lexis)
