Responsibilities
- Lead complex M&A transactions from due diligence to closing
- Advise on SEC compliance and public reporting requirements
- Develop corporate governance policies and board materials
- Negotiate and draft high-value commercial contracts
- Manage litigation strategy and regulatory risk mitigation
- Mentor junior attorneys and drive legal process innovation
Qualifications
- Juris Doctor degree from ABA-accredited law school
- 8+ years of corporate law experience at top-tier firms
- Admitted to New York State Bar
- Proven M&A transaction experience (>$500M deals)
- Expertise in securities regulations (SEC, FINRA)
- Strong contract negotiation and drafting skills
- Ability to manage high-pressure deadlines simultaneously
