Responsibilities
- Lead complex M&A transactions and venture capital financing rounds for high-growth tech clients
- Draft, negotiate, and finalize sophisticated commercial agreements and IP licensing deals
- Provide strategic legal guidance on regulatory compliance and corporate governance matters
- Manage litigation risks and oversee external counsel relationships for dispute resolution
- Develop innovative contract templates and legal playbooks for emerging tech sectors
- Mentor junior attorneys and lead cross-functional legal initiatives
Qualifications
- Juris Doctor (JD) from ABA-accredited law school and active NY State Bar membership
- 8+ years of corporate law experience with BigLaw or top-tier boutique firm
- Proven expertise in technology transactions and SEC regulatory compliance
- Exceptional negotiation skills with documented success in complex deal structures
- Strong academic credentials (top 25% law school rank)
- Experience managing legal tech tools and e-discovery platforms
- Admitted to practice in at least one additional state (CA preferred)
