Responsibilities
- Lead due diligence and risk assessment for multi-jurisdictional M&A transactions
- Advise on corporate governance, SEC compliance, and cross-border regulatory matters
- Develop and implement contract management systems for enterprise clients
- Manage litigation strategy and alternative dispute resolution processes
- Mentor junior attorneys and coordinate with external counsel networks
- Drive innovation in legal technology adoption and process automation
- Represent clients in regulatory hearings and stakeholder negotiations
Qualifications
- Juris Doctor degree from ABA-accredited institution with top 20% academic standing
- Active New York State bar membership with 7+ years corporate law experience
- Proven track record in handling $500M+ M&A transactions
- Expertise in SEC regulations, SOX compliance, and international trade law
- Advanced proficiency in legal research tools (Westlaw, LexisNexis, Casetext)
- Exceptional written and verbal communication skills
- Admission to at least one additional state bar preferred
- Technical aptitude for legal tech implementation (AI contract review, e-discovery)
