Responsibilities
- Architect and lead complex domestic and cross-border mergers, acquisitions, and joint ventures from due diligence through integration.
- Act as the primary legal advisor on SEC filings, corporate governance matters, and board-level reporting.
- Draft and negotiate high-value commercial agreements, including multi-year technology licensing and strategic partnership contracts.
- Develop comprehensive risk mitigation strategies to address emerging regulatory trends and compliance requirements.
- Direct high-stakes litigation strategy and manage the performance of outside counsel on specialized matters.
- Mentor senior associates and legal staff, fostering a high-performance culture grounded in intellectual rigor and ethical integrity.
Qualifications
- Juris Doctor (JD) degree from an ABA-accredited law school with a distinguished academic record.
- Active membership in good standing with the District of Columbia Bar.
- Minimum of 8-12 years of progressive experience in corporate law, preferably within a Vault 100 firm or a Fortune 500 in-house environment.
- Extensive experience in managing large-scale M&A transactions and sophisticated financial instruments.
- Superior command of commercial contract law and federal regulatory landscapes.
- Exceptional verbal and written communication skills with the ability to influence C-suite stakeholders.
