Responsibilities
- Lead negotiations and drafting of merger agreements, stock purchase agreements, and joint venture contracts
- Advise clients on SEC compliance, corporate governance, and fiduciary duties
- Manage due diligence processes for multi-million dollar transactions
- Develop internal compliance programs and risk mitigation frameworks
- Mentor junior attorneys and conduct legal research on emerging regulatory issues
- Represent clients in board meetings and shareholder communications
Qualifications
- Juris Doctor degree from ABA-accredited law school
- 8+ years of corporate law experience at a top-tier law firm
- Bar admission in New York State
- Proven track record in M&A transactions (minimum 10 deals closed)
- Expertise in SEC regulations and corporate governance frameworks
- Exceptional negotiation skills and attention to detail
- Experience managing complex legal teams and budgets
