Responsibilities
- Advise senior management on complex corporate matters, including mergers and acquisitions (M&A), joint ventures, and corporate restructuring.
- Prepare, review, and negotiate a wide range of commercial contracts, including service agreements, NDAs, and licensing deals.
- Ensure strict compliance with UK corporate governance laws, FCA regulations, and data protection statutes.
- Manage litigation and risk assessment, working closely with external counsel when necessary.
- Conduct legal research and provide memos on emerging regulatory changes impacting the industry.
- Lead and mentor junior lawyers and paralegals, fostering a culture of excellence and continuous improvement.
- Represent the firm in negotiations and stakeholder meetings, acting as a key strategic advisor.
Qualifications
- Qualified Solicitor with a full practicing certificate (SRA approved).
- Minimum of 5-7 years of post-qualification experience in corporate law, with a strong focus on M&A and commercial contracts.
- Proven track record of managing large-scale transactions and complex legal projects.
- Strong commercial acumen and the ability to advise business units on legal implications.
- Excellent written and verbal communication skills with the ability to articulate complex legal concepts to non-legal stakeholders.
- Proficiency in legal research tools such as Westlaw or LexisNexis.
- Ability to work effectively under pressure in a fast-paced, dynamic environment.
