Key Responsibilities:
- Oversee and manage all aspects of corporate governance, including board meetings and shareholder communications.
- Lead the legal strategy for mergers and acquisitions (M&A), including due diligence, negotiation, and closing.
- Draft, review, and negotiate a wide variety of commercial contracts, including vendor agreements, NDAs, and service level agreements.
- Ensure full compliance with federal, state, and local regulations relevant to our industry.
- Advise the C-suite on risk management and litigation strategy.
- Manage outside counsel and legal budgets effectively.
Qualifications:
- J.D. degree from an accredited law school.
- Admitted to practice law in New York and at least 5-7 years of experience in corporate law.
- Strong background in M&A and commercial contract negotiation.
- Exceptional written and verbal communication skills.
- Ability to thrive in a fast-paced, high-pressure environment.
- Proficiency with legal research databases and case management software.
