Responsibilities
- Lead due diligence processes and coordinate multi-disciplinary deal teams.
- Draft and negotiate complex merger agreements, stock purchase agreements, and ancillary documents.
- Advise clients on corporate governance, fiduciary duties, and SEC reporting requirements.
- Manage transaction closings and oversee junior associates and paralegals.
- Develop and maintain strong relationships with C-suite stakeholders and general counsel.
- Collaborate with tax, intellectual property, and employment practice groups to provide comprehensive legal solutions.
Qualifications
- Juris Doctor (JD) degree from a top-tier accredited law school.
- Active member in good standing of the New York State Bar.
- 5-8 years of experience in corporate law at a major national or international law firm.
- Proven expertise in M&A, private equity, or capital markets transactions.
- Exceptional drafting, analytical, and interpersonal communication skills.
- Demonstrated ability to manage multiple complex projects under tight deadlines.
- Commitment to professional development and mentorship of junior team members.
