Responsibilities
- Lead and manage complex M&A transactions, including due diligence, drafting, and negotiation of deal documentation.
- Provide expert legal counsel on corporate governance, SEC compliance, and strategic business initiatives.
- Collaborate with tax, labor, and IP departments to provide comprehensive legal solutions to clients.
- Directly manage junior associates and oversee the workflow of deal teams to ensure timely execution.
- Act as a primary point of contact for high-profile clients, managing expectations and delivering exceptional service.
- Draft and review complex commercial contracts, shareholder agreements, and joint venture documentation.
- Support partner-level business development efforts through insightful market research and thought leadership.
Qualifications
- Juris Doctor (JD) degree from a top-tier law school with an excellent academic record.
- Admission to the New York State Bar in good standing.
- 5-8 years of sophisticated corporate transactional experience at an AmLaw 50 firm.
- Proven ability to manage high-pressure deal timelines with precision and attention to detail.
- Exceptional legal research, drafting, and analytical skills.
- Strong interpersonal skills with the ability to communicate effectively with senior executives and stakeholders.
- Demonstrated history of managing cross-functional legal teams.
