Responsibilities
- Lead and manage complex M&A, private equity, and venture capital transactions from inception to closing.
- Draft and negotiate sophisticated transaction documents, including purchase agreements, ancillary documents, and disclosure schedules.
- Supervise and mentor junior associates, providing guidance on legal research and project management.
- Collaborate directly with firm partners to develop and implement innovative legal strategies for diverse client portfolios.
- Manage client communications and coordinate with cross-functional experts, including tax, labor, and intellectual property teams.
- Oversee due diligence processes and risk assessment protocols for major corporate entities.
Qualifications
- Juris Doctor (JD) degree from a top-tier accredited law school with exceptional academic credentials.
- Admission to the New York State Bar in good standing.
- 5–8 years of professional experience in a corporate/M&A department at a nationally recognized law firm.
- Proven ability to manage complex deal flow independently with minimal supervision.
- Advanced negotiation skills and a sophisticated understanding of corporate governance.
- Exceptional verbal and written communication skills with a focus on precision and professional impact.
- Experience in deal management and leading internal transaction teams.
