Responsibilities
- Lead complex due diligence processes and manage multi-disciplinary deal teams.
- Draft and negotiate sophisticated transaction documents, including purchase agreements and shareholder agreements.
- Provide strategic legal advice to executive-level clients regarding corporate governance and regulatory compliance.
- Mentor junior associates and provide constructive feedback on work product.
- Coordinate with tax, intellectual property, and real estate departments to ensure seamless transaction closing.
- Manage client expectations and maintain strong professional relationships with stakeholders.
Qualifications
- Juris Doctor (JD) degree from an ABA-accredited law school with excellent academic credentials.
- Current member in good standing with the New York State Bar.
- 5-8 years of substantive experience in a top-tier corporate or M&A practice.
- Deep understanding of corporate law, private equity, and transactional workflows.
- Superior analytical, writing, and communication skills.
- Proven ability to manage high-pressure deadlines in a fast-paced environment.
- Experience in leading complex cross-border negotiations is highly preferred.
