Responsibilities
- Lead complex domestic and cross-border mergers, acquisitions, and divestitures.
- Draft and negotiate sophisticated commercial agreements, including joint venture and licensing deals.
- Advise executive boards on corporate governance, fiduciary duties, and regulatory compliance.
- Mentor and supervise junior associates and paralegals to ensure excellence in work product.
- Manage full-cycle deal closings, ensuring all legal and regulatory milestones are met.
- Coordinate with cross-functional global teams to deliver comprehensive legal strategies.
- Perform high-level due diligence for equity investments and private placements.
Qualifications
- Juris Doctor (JD) degree from a top-tier accredited law school.
- Active member in good standing of the New York State Bar.
- Minimum of 5-7 years of experience in a large law firm's corporate practice.
- Proven track record of successfully closing multi-million dollar transactions.
- Exceptional verbal and written communication skills with high attention to detail.
- Demonstrated ability to manage multiple high-priority projects simultaneously.
- Advanced understanding of corporate tax implications and SEC regulations.
