Responsibilities
- Lead and manage complex M&A transactions, joint ventures, and private equity investments from inception to closing.
- Draft and negotiate sophisticated commercial contracts, purchase agreements, and disclosure schedules.
- Supervise and mentor junior associates and paralegals to ensure high-quality work product.
- Provide strategic legal counsel to clients regarding corporate governance and regulatory compliance.
- Conduct exhaustive due diligence reviews and synthesize complex findings for stakeholders.
- Represent the firm in client meetings, negotiations, and closings with a high level of professionalism.
- Coordinate with cross-functional teams including tax, IP, and labor experts.
Qualifications
- Juris Doctor (JD) degree from an ABA-accredited top-tier law school.
- Current member in good standing with the New York State Bar.
- 5-8 years of post-qualification experience in a reputable corporate/M&A practice.
- Proven expertise in drafting complex deal documentation and leading negotiation sessions.
- Strong analytical skills with a meticulous eye for detail and risk management.
- Excellent interpersonal skills and the ability to maintain long-term client relationships.
- Demonstrated ability to thrive in a high-pressure, deadline-driven environment.
