You will play a pivotal role in advising multinational corporations, private equity firms, and high-growth technology companies on complex cross-border transactions and strategic corporate governance.
Responsibilities
- Lead and manage complex M&A transactions, including due diligence, drafting, and negotiation of transaction agreements.
- Provide sophisticated counsel on corporate governance, securities regulation, and fiduciary duties to boards of directors.
- Mentor and supervise junior associates, ensuring work product excellence and professional development.
- Collaborate with cross-practice teams including Tax, IP, and Employment law experts to deliver comprehensive client solutions.
- Develop and maintain strong relationships with key institutional clients to drive business growth.
- Draft and review complex commercial contracts, disclosure schedules, and closing documents with meticulous attention to detail.
Qualifications
- Juris Doctor (JD) degree from a top-tier law school with an excellent academic record.
- Admitted to practice in the New York State Bar.
- 5-8 years of experience in corporate law at a nationally recognized law firm.
- Extensive experience in managing high-stakes M&A and private equity deal cycles from inception to closing.
- Exceptional verbal and written communication skills with the ability to distill complex legal concepts for C-suite executives.
- Demonstrated ability to manage multiple high-priority files in a fast-paced, deadline-driven environment.
