Responsibilities
- Lead and manage complex cross-border M&A transactions from inception to closing.
- Draft and negotiate sophisticated commercial agreements, including stock purchase and merger agreements.
- Provide strategic legal counsel to Board members and C-suite executives on corporate governance and fiduciary duties.
- Mentor junior associates and oversee document review and due diligence processes.
- Coordinate with cross-functional teams including tax, IP, and regulatory experts.
- Manage client relationships, ensuring proactive communication and service excellence.
- Participate in firm-wide business development initiatives and client recruitment efforts.
Qualifications
- Juris Doctor (JD) degree from a top-tier accredited law school.
- Admission to the New York State Bar in good standing.
- 5-8 years of experience in corporate law within a major international firm.
- Proven track record in handling sophisticated M&A and Private Equity transactions.
- Exceptional drafting, analytical, and negotiation skills.
