Responsibilities
- Lead complex domestic and cross-border M&A transactions from inception to closing.
- Draft and negotiate purchase agreements, disclosure schedules, and ancillary transaction documents.
- Conduct exhaustive legal due diligence and prepare comprehensive reports for stakeholders.
- Mentor and supervise junior associates, fostering a collaborative and high-performance team culture.
- Advise private equity clients on sophisticated governance matters and corporate strategy.
- Coordinate with tax, antitrust, and intellectual property practice groups to ensure integrated service delivery.
- Maintain high standards of client communication and firm-wide risk management protocols.
Qualifications
- Juris Doctor (JD) degree from a top-tier law school with an excellent academic record.
- Admission to the New York State Bar in good standing.
- 5-8 years of dedicated experience in corporate M&A at an AmLaw 50 firm.
- Proven ability to manage multi-faceted projects and meet tight deadlines in a high-pressure environment.
- Exceptional analytical, drafting, and negotiation skills with a keen eye for detail.
- Demonstrated leadership potential and commitment to client service excellence.
- Fluency in international business law principles and regulatory frameworks.
