Responsibilities
- Lead and manage complex M&A transactions from due diligence through closing.
- Draft and negotiate sophisticated corporate agreements, including stock purchase and merger agreements.
- Advise executive clients on corporate governance and regulatory compliance matters.
- Mentor and supervise junior associates and paralegals to ensure high-quality output.
- Conduct legal research to provide actionable counsel on evolving business laws.
- Collaborate with tax and IP specialists to provide comprehensive deal structuring.
- Represent the firm in client meetings and lead high-level negotiations.
Qualifications
- Juris Doctor (JD) degree from an ABA-accredited law school.
- Active member in good standing of the New York State Bar.
- 5-8 years of experience in corporate law at an AmLaw 100 firm.
- Proven expertise in private equity and cross-border M&A transactions.
- Exceptional verbal and written communication skills with high attention to detail.
- Ability to thrive in a fast-paced environment with shifting priorities.
- Demonstrated history of building strong, lasting client relationships.
